Terms of Service

1. Acceptance of These Terms

These Terms of Service (the "Terms") are a binding agreement between you and Paradigm Pictures, operating under PWD Visuals Ltd. ("VenuScan", "we", "us", "our"), based in Ontario, Canada, governing your access to and use of the VenuScan web-based platform, the website at venuscan.io, and related services (collectively, the "Service"). VenuScan.io and its intellectual property are explicitly owned by Paradigm Pictures operating under PWD Visuals Ltd. By creating an account, scanning a VenuScan code, claiming a perk, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least the age of majority in your province, territory, or country of residence (typically 18 or 19) to use certain features. Certain perks (for example, offers involving alcohol) may carry additional age or eligibility requirements set by the venue or brand providing them, and you are responsible for meeting those requirements. You may not use the Service on behalf of another person without their authorization.

3. Description of the Service

VenuScan is a multi-tenant ticketing, scanning, and perk-fulfillment platform. It allows organizations to manage events, scan tickets at the door, view attendance analytics, and stream VOD replays; and it allows attendees of participating events and venues to discover, claim, and redeem offers, rewards, and other benefits ("Perks") made available by venues, event organizers, brands, and other third parties ("Perk Providers"). VenuScan operates the technology platform only. Unless expressly stated otherwise, Perks are offered, funded, and fulfilled by Perk Providers, not by VenuScan, and VenuScan is not a party to any transaction between you and a Perk Provider.

4. Access, Accounts, and Progressive Profiling

Organizer features require an account. Attendee access to Perks is designed to be frictionless: no app download or permanent account is required, and access relies on a tokenized QR flow. When you scan a code to claim a perk, you may be asked to provide certain information (such as an email address) in exchange for the offer. You must provide accurate, current, and complete information, and you are responsible for maintaining the confidentiality of any credentials and for all activity under your account. You must promptly notify us of any unauthorized use. We may suspend or refuse access at our discretion, including where we reasonably suspect fraud or breach of these Terms. 5. Pricing (Organizers)

• Single-phone Event Pass: USD $10 per event.
• Five-phone Event Pass: USD $40 per event.
• Passes are sold via Paradigm Pictures' Shopify store. Once paid, the pass unlocks scanning for that event for the configured number of devices.
• Passes are non-refundable once an event has begun.

6. Perks: Claiming, Redemption, and Limitations

Perks are subject to the specific conditions displayed at the time of the offer (such as validity windows, quantity limits, venue restrictions, and eligibility criteria), which form part of these Terms for that Perk. Unless otherwise stated in the offer:

• Perks have no cash value, are not redeemable for cash, and cannot be sold, bartered, or transferred.
• Perks are limited to one redemption per person per offer unless the offer expressly states otherwise.
• Perks expire at the date and time stated in the offer, or if none is stated, at the conclusion of the associated event.
• Perk Providers may refuse redemption where they reasonably believe an offer is being claimed fraudulently, in breach of its conditions, or by an ineligible person.
• Perks may be modified, substituted, or withdrawn by the Perk Provider at any time before redemption; VenuScan is not responsible for such changes.
• Screenshots, copies, or reproductions of redemption codes are not valid for redemption. Redemption must occur through the live web Service interface unless the offer states otherwise.

7. Marketing Communications and Consent

Where you provide express consent, VenuScan and, where you separately agree, specific Perk Providers may send you commercial electronic messages such as offers, event announcements, and newsletters. You may withdraw this consent at any time using the unsubscribe mechanism provided in the messages.

8. Acceptable Use

You agree not to (a) misuse, reverse engineer, or interfere with the Service; (b) upload unlawful content; (c) use the Service to scan tickets or claim perks you are not authorized to scan or claim; or (d) attempt to access data belonging to another organization or attendee.

9. Data

You retain ownership of attendee data you upload. You grant us a limited license to host, process, and display this data solely to provide the Service. See the Privacy Policy for details.

10. Termination

We may suspend or terminate your account for breach of these Terms. You may close your account at any time. On termination we will delete your data within 30 days, subject to legal retention obligations.

11. Disclaimers and Liability

The Service is provided "as is". To the maximum extent permitted by law, we disclaim all implied warranties. Our total liability is limited to the fees you paid in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Mandatory consumer-protection rights of your country of residence still apply.

13. Changes

We may update these Terms. Material changes will be notified by email or in-app. Continued use after the effective date constitutes acceptance.
